These Terms of Service (“Terms”) govern your access to and use of the website located at hvaccommercial.com and all related pages, features, tools, and services (collectively, the “Site”) operated by HVAC Commercial LLC (“HVAC Commercial,” “we,” “us,” or “our”), a limited liability company registered in the State of Illinois, United States. By accessing or using the Site, placing an order, or otherwise engaging with our Services, you (“Customer,” “you,” or “your”) agree to be bound by these Terms in full. If you do not agree to these Terms, you must not use the Site.
HVAC Commercial sells commercial HVAC equipment, parts, and related products primarily to business customers, contractors, and commercial buyers in the United States. These Terms apply to all purchases, transactions, and interactions conducted through the Site.
1. Acceptance of Terms
By accessing the Site, creating an account, submitting a quote request, or placing an order, you confirm that you are at least 18 years of age, have the legal authority to enter into a binding agreement, and agree to comply with these Terms and all applicable federal, state, and local laws. If you are accessing the Site on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.
2. Changes to These Terms
We reserve the right to update or modify these Terms at any time at our sole discretion. When we make material changes, we will update the “Last updated” date at the top of this page. Your continued use of the Site after any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
3. Products and Pricing
All product descriptions, specifications, images, and pricing displayed on the Site are subject to change without notice. We make reasonable efforts to ensure accuracy, but we do not warrant that product descriptions, pricing, or other content on the Site is complete, accurate, reliable, or error-free.
Prices are listed in US Dollars (USD) and do not include applicable taxes, shipping charges, or freight fees unless expressly stated. HVAC Commercial reserves the right to correct any pricing errors and to cancel or refuse orders placed at an incorrect price, even after an order confirmation has been issued.
We reserve the right to limit quantities, discontinue products, or modify product offerings at any time without notice.
4. Orders and Order Acceptance
Submission of an order through the Site constitutes an offer to purchase. An order is not accepted, and no binding contract is formed, until we send you an order confirmation email. We reserve the right to refuse, cancel, or limit any order at our discretion, including but not limited to cases involving suspected fraud, pricing errors, product unavailability, or failure to meet eligibility requirements.
For custom, made-to-order, or special-order products, all sales are final once production has commenced. These products cannot be canceled, returned, or exchanged. You will be notified if your order contains such items prior to or at the time of confirmation.
5. Payment Terms
HVAC Commercial accepts the following forms of payment: Visa, Mastercard, American Express, Discover, debit cards, PayPal, Apple Pay, and Google Pay. All transactions are processed in USD through secure, third-party payment processors. By submitting payment information, you represent that you are authorized to use the payment method provided and that the information is accurate.
Your payment method will be charged at the time your order is placed. For orders requiring a deposit or staged payment, payment terms will be communicated at the time of order. HVAC Commercial does not store full credit card numbers on its servers; all payment data is handled by PCI-compliant processors.
If a payment is declined or reversed, we reserve the right to cancel the associated order and pursue any amounts owed through available legal remedies.
6. Shipping, Freight, and Delivery
HVAC Commercial ships to addresses within the contiguous United States only. We do not ship internationally or to PO Boxes for freight orders. Shipping timelines are estimates only and are not guaranteed. Risk of loss and title for products purchased pass to you upon delivery to the carrier.
Commercial HVAC equipment is frequently shipped via LTL (less-than-truckload) freight. You are responsible for inspecting all shipments at the time of delivery before signing the carrier’s delivery receipt. If you notice damage, shortage, or discrepancy, you must note it clearly on the delivery receipt and contact us at sales@hvaccommercial.com within 48 hours of delivery. Failure to note damage at delivery may affect your ability to file a freight claim.
HVAC Commercial is not liable for delays caused by carriers, weather, supply chain disruptions, or other circumstances beyond our control.
7. Returns, Cancellations, and Refunds
Our return and refund practices are governed by our Refund & Returns Policy, which is incorporated into these Terms by reference and available at hvaccommercial.com/pages/refund-returns-policy. In the event of a conflict between these Terms and the Refund & Returns Policy with respect to returns, the Refund & Returns Policy controls.
Key terms include: standard returns must be initiated within the applicable return window; outright returns on commercial equipment are subject to a restocking fee; custom and made-to-order products are non-refundable; and return shipping costs are the responsibility of the customer unless the return is due to our error or a defective product.
8. Warranties and Disclaimers
Products sold through HVAC Commercial may carry manufacturer warranties. Warranty terms, duration, and coverage vary by brand and product. HVAC Commercial passes through any applicable manufacturer warranties but does not independently warrant products beyond what the manufacturer provides. For warranty claims, you may be directed to the manufacturer directly.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HVAC COMMERCIAL PROVIDES THE SITE AND ALL PRODUCTS “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, HVAC COMMERCIAL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO HVAC COMMERCIAL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless HVAC Commercial LLC and its officers, directors, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to: (a) your use of the Site or Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any content you submit to or through the Site.
11. Intellectual Property
All content on the Site, including but not limited to text, images, graphics, logos, product descriptions, and software, is the property of HVAC Commercial LLC or its content suppliers and is protected by applicable US and international intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from the Site without our prior written consent.
Product names, brand names, and trademarks displayed on the Site are the property of their respective owners. Reference to any product, brand, or manufacturer does not constitute an endorsement or affiliation beyond the commercial sale of that product.
12. User Accounts
If you create an account on the Site, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately at sales@hvaccommercial.com if you become aware of any unauthorized use of your account. We reserve the right to suspend or terminate accounts at our discretion, including for violation of these Terms or suspected fraudulent activity.
13. Prohibited Conduct
You agree not to use the Site to: (a) violate any applicable law or regulation; (b) submit false, misleading, or fraudulent information; (c) engage in unauthorized scraping, data mining, or automated access of the Site; (d) transmit malware, spam, or harmful code; (e) interfere with the security or integrity of the Site; or (f) attempt to gain unauthorized access to any portion of the Site or its related systems.
14. Third-Party Links and Services
The Site may contain links to third-party websites or integrate with third-party services (such as payment processors and shipping carriers). These third-party sites and services are governed by their own terms and privacy policies. HVAC Commercial has no control over, and assumes no responsibility for, the content, accuracy, or practices of any third-party site or service. Links do not constitute endorsement.
15. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or your use of the Site shall be subject to the exclusive jurisdiction of the state and federal courts located in Sangamon County, Illinois, and you consent to personal jurisdiction in such courts.
Before initiating any formal legal proceeding, you agree to contact HVAC Commercial at sales@hvaccommercial.com and provide a written description of the dispute. Both parties agree to attempt to resolve the dispute informally within 30 days of notice.
16. Entire Agreement and Severability
These Terms, together with our Privacy Policy, Refund & Returns Policy, Shipping Policy, and any other policies incorporated by reference, constitute the entire agreement between you and HVAC Commercial LLC with respect to the subject matter herein and supersede all prior or contemporaneous agreements, communications, and proposals. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
17. Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of HVAC Commercial LLC to be effective.
